General conditions
Article 1 - Definitions and identity of the company
1.1 OpenEmbassy: In these general terms and conditions, "OpenEmbassy" is understood to be the company, located at Kattenburg 5, 1018 JA Amsterdam.
1.2 Client/Client: The (legal) person with whom OpenEmbassy has entered into an agreement.
1.3 Services: The services to be provided by OpenEmbassy as described on www.openembassy.nl including monitoring and evaluation, action research and providing access to the various trainings, workshops, digital learnings,, lectures, events, brainstorming sessions and Masterclasses. Ancillary Agreement: an agreement whereby the Customer acquires products, digital content and/or services in relation to a distance contract and these items, digital content and/or services are provided by the Entrepreneur or by a third party on the basis of an arrangement between that third party and the Entrepreneur;
1.4 Agreement: the agreement (including these General Terms and Conditions) between OpenEmbassy and the Customer under which OpenEmbassy provides services to the Customer.
1.5 Day: calendar day;
1.6 Digital Content: data produced and delivered in digital form;
1.7 Long-term Contract: a contract for the regular supply of goods, services and/or digital content for a specified period;
1.8 Durable medium: any device - including e-mail - that enables the consumer or entrepreneur to store information addressed to him personally in a way that allows future consultation or use for a period of time appropriate to the purpose for which the information is intended, and which allows unaltered reproduction of the stored information;
1.9 Entrepreneur: the natural or legal person who, and offers products, (access to) digital content and/or services;
1.10 Technology for distance communication: means that can be used for concluding a contract, without the consumer and entrepreneur having to be together in the same room at the same time;

Article 2 - Applicability.
2.1 These terms and conditions apply to all offers and legal relationships of OpenEmbassy and to all agreements concluded with OpenEmbassy .
2.2 These terms and conditions apply to the exclusion of any general terms and conditions used by the Customer.
2.3 Customer enters into this agreement in the capacity of a company. Customer can therefore not rely on consumer law and does not enjoy protection such as the right of withdrawal.
2.4 OpenEmbassy is entitled to unilaterally modify the content of these General Terms and Conditions. Amendments are announced in writing or by e-mail and come into force fourteen (14) days after publication, or on another date specified in the announcement.
2.5 If the Customer does not wish to accept the amendments to the General Terms and Conditions, he has the right to terminate the Agreement as of the date on which the amended terms and conditions come into force without OpenEmbassy being obliged to compensate for costs or damage. The purchase price paid will be refunded pro rata.
2.6 If a situation arises between the parties that is not regulated in these General Terms and Conditions, or if there is ambiguity regarding the interpretation of one or more provisions, one should act 'in the spirit' of these provisions.
2.7. If OpenEmbassy does not always require strict compliance with these Terms and Conditions, this does not mean that the provisions thereof do not apply or that OpenEmbassy would to any extent lose the right to require strict compliance with these Terms and Conditions in other cases.
3.1 All offers made by OpenEmbassy are without obligation and may be revoked within ten working days of the acceptance of the offer, unless the offer expressly states otherwise.
3.2 An agreement is established by acceptance of the order. This acceptance is evidenced by the Contractor's written confirmation or the Principal's signature of the offer, or by the Contractor's commencement of performance of the Agreement.
3.3 When entering into the Agreement, the Customer must provide the correct, current and complete (address) data requested from the Customer. Customer must notify OpenEmbassy of any changes in these (address) details as soon as possible via info@openembassy.nl. We assume a best-efforts obligation for this agreement, but give no guarantee of achieving the intended result.
3.4 OpenEmbassy has the right to refuse a potential Customer without giving reasons.
3.5 OpenEmbassy and Customer are authorized to terminate the Agreement with immediate effect without further notice of default or judicial intervention in writing or by e-mail without being obliged to pay any compensation for costs or damage in the following cases; (a) if the other party files for bankruptcy or is declared bankrupt; (b) Customer applies for a (provisional) moratorium or is granted a (provisional) moratorium; (c) Customer is placed under guardianship or administration, or OpenEmbassy ceases its activities or goes into liquidation.
Article 4 - Services and use of third parties, offer and quotations
4.1 OpenEmbassy grants the Customer a non-exclusive right of use with respect to its Services. The right of use commences upon conclusion of the Agreement.
4.2 The right of use is not transferable. The Customer is not permitted to sell, rent out or make the right of use available to a third party in any way or for any purpose whatsoever.
4.3 The Customer may only use the right of use of the Services of OpenEmbassy for its own business activities.
4.4 OpenEmbassy has the right to have certain activities carried out by third parties.
4.5 If OpenEmbassy wishes to involve third parties in the execution of the order, it shall in principle only do so after obtaining the consent of the Customer.
4.6 All offers and quotations are valid for 30 days, unless stated otherwise on the offer or quotation itself.
4.7 OpenEmbassy cannot be bound by its offers if the client can reasonably understand that the offer or any part thereof, contains an obvious mistake or slip of the pen.
4.8 If the acceptance (whether or not on minor points) deviates from the offer included in the quotation or quotation, OpenEmbassy is not bound by it. The agreement will then not be concluded in accordance with this deviating acceptance, unless OpenEmbassy indicates otherwise.
4.9 A composite quotation does not oblige OpenEmbassy to carry out part of the order for a corresponding part of the stated price. Offers or quotations do not automatically apply to future orders.
4.10 If the client, whether or not after receiving a quotation, takes an option on a date or dates, this option will remain in force for a maximum of 30 days. Thereafter, it shall expire. If the client wishes to convert the option into a definite agreement, he must notify OpenEmbassy by e-mail within 1 month of requesting the option.
Article 5 - Fees and Prices
5.1 Prices or rates quoted by OpenEmbassy or agreed with OpenEmbassy are exclusive of sales tax (VAT) and , unless otherwise stated.
5.2 Customer shall not be entitled to set-off with respect to payment of amounts due. Customer may not suspend the payment of other amounts with an appeal to the possible unsoundness of the service.
5.3 If OpenEmbassy blocks a service under the applicable terms and conditions, it is entitled to attach the condition to a unblocking that Customer pays the applicable costs, in accordance with the regulation applicable to this at OpenEmbassy at the time of the unblocking.
Article 6 - Payment
6.1 Payments must be made prior to the start date of a project in accordance with the agreed payment schedule.
6.2 OpenEmbassy applies a payment term of 14 days, unless a different agreement has been made in writing in the agreement. Also, OpenEmbassy is entitled to invoice periodically.
6.3 If Customer does not pay the amounts due within the agreed period, Customer will owe statutory interest on the outstanding amount, without any notice of default being required. If the Customer remains in default of payment after notice of default, the claim may be handed over for collection, in which case the Customer shall, in addition to the total amount then due, also be obliged to pay in full all extrajudicial and judicial costs, including all costs calculated by external experts in addition to the costs established in court, relating to the collection of this claim or the exercise of justice otherwise, the amount of which is set at a minimum of 20% of the total amount with a minimum of € 100.
6.4 Invoices will be sent by e-mail.
6.5 Without prejudice to its other rights under the law or the Agreement, if payment is not made on time, OpenEmbassy is entitled to suspend the Service without being liable to compensate the Customer for any costs or damage.
6.6 OpenEmbassy has the right to remove participants from training courses if they behave inappropriately or have not paid their financial obligations on time.
6.7 Following a reminder and failure to pay on time within the reminder period, consumers are liable to pay collection costs to OpenEmbassy in accordance with the Dutch Collection Costs (Standardization) Act. Notwithstanding said Act, non-consumers shall owe 15% of the principal sum in collection costs without further notice if and as soon as they are in default, with a minimum of € 150.
6.8 Any judicial and execution costs incurred shall also be recovered from the Client. Client shall also owe interest on all costs due.
Article 7 - Rights and Duties.
7.1 Meetings of OpenEmbassy may be capped in terms of the number of participants.
7.2 OpenEmbassy reserves at all times the right to terminate meetings or to limit the duration of meetings.
7.3 OpenEmbassy reserves at all times the right to discontinue or temporarily not offer its Services.
7.4 The term 'lifetime' means: as long as the Service is offered.
7.5 OpenEmbassy has the right to use names of training participants and image material created during pre- and post-training in its communications or marketing efforts of its business unless otherwise agreed.
7.6 OpenEmbassy makes use of AI tools such as ChatGPT in content, articles, texts.
7.7 OpenEmbassy will never place your personal data in the AI tool ChatGPT.
Article 9 - Registration and Cancellation.
9.1 Een aanmelding voor een training of opleiding dient telkens schriftelijk te geschieden en is bindend na bevestiging van OpenEmbassy.
9.2 Opdrachtgever draagt de verantwoordelijkheid voor de keuze en geschiktheid van de opleiding voor de deelnemers. Dat geldt onverkort indien OpenEmbassy een deelnemer toelaat tot een opleiding waarvoor toelatingsnormen gelden. Onder deelnemers worden in deze Algemene Voorwaarden verstaan personen die voor een training, cursus of opleiding zijn aangemeld. Het ontbreken van de vereiste voorkennis bij deelnemers zal in geen geval afbreuk doen aan de verplichtingen van opdrachtgever op grond van de overeenkomst. Het is opdrachtgever toegestaan een deelnemer voor een opleiding te vervangen door een andere deelnemer na voorafgaande schriftelijke toestemming van OpenEmbassy.
9.3 Indien het aantal aanmeldingen daartoe naar het oordeel van OpenEmbassy aanleiding geeft, is OpenEmbassy gerechtigd de training of opleiding te annuleren, te combineren met één of meer andere opleidingen, of deze op een latere datum of een later tijdstip te laten plaatsvinden. OpenEmbassy behoudt zich het recht voor de locatie van de opleiding te wijzigen. OpenEmbassy is gerechtigd zo nodig organisatorische en inhoudelijke wijzigingen in een opleiding aan te brengen.
9.4 De volgende annuleringsbepalingen zijn van kracht, tenzij de website voor enige dienst of product anders vermeldt of tenzij in een overeenkomst tussen Opdrachtgever en OpenEmbassy anders is overeengekomen.
*Annulering Incompany Opdracht
9.5.1 Opdrachtgever is bij annulering van een trainingsopdracht de volgende kosten verschuldigd:
Bij annulering van een training
a. binnen 1 week voor aanvang 1e trainingsdag, 100% van het offertebedrag.
b. binnen 2 weken voor aanvang trainingsdag, 75% van het offertebedrag.
c. binnen 3 weken voor aanvang trainingsdag, 25% van het offertebedrag.
d. eerder dan 4 weken voor aanvang trainingsdag, geen kosten.
9.5.2 Annulering van een opdracht dient schriftelijk of per email te geschieden. Annulering is een feit als OpenEmbassy ontvangst van annulering bevestigd heeft. Als moment van annuleren geldt datum poststempel bij annulering per post of de datum en het tijdstip van ontvangen van de annuleringsemail.
*Annulering Open inschrijving
9.6.1 Onder ‘open inschrijving’ wordt elke vorm van begeleiding of ondersteuning door OpenEmbassy bedoeld waarbij individuele Opdrachtgevers/Deelnemers zich kunnen inschrijven voor o.a. training, informatiebijeenkomsten, LinkedIn Local, webinars of cursussen.
9.6.2 OpenEmbassy behoudt zich het recht voor om bij onvoorziene omstandigheden of onvoldoende belangstelling voor een ‘open inschrijving’ deze te annuleren, doch zal voorstellen doen ten aanzien van eventuele alternatieve data of mogelijkheden. Bij annulering door OpenEmbassy, indien geen gebruik gemaakt wordt van alternatieve mogelijkheden, heeft Opdrachtgever recht op restitutie van het betaalde bedrag.
9.6.3 OpenEmbassy heeft het recht om – met duidelijke opgave van redenen – deelname van een Opdrachtgever te weigeren, in welke gevallen Opdrachtgever recht heeft op terugbetaling van het volledige door hem/haar betaalde bedrag.
9.6.4 Annulering door Opdrachtgever in geval van een open inschrijving kan tot 2 weken voor aanvang van de dienst kosteloos geschieden, tenzij op de website anders staat vermeld. Bij annulering binnen 2 weken voor aanvang van de eerste trainings- of begeleidingsdag is Opdrachtgever de gehele overeengekomen prijs verschuldigd.
9.6.5 In alle gevallen mag, na overleg vooraf met OpenEmbassy, een vervanger met dezelfde opleidingsvraag worden gestuurd.
9.6.6 Annulering dient uitsluitend per – door OpenEmbassy bevestigde email – te geschieden. Als moment van annuleren geldt de datum en tijdstip van ontvangen van deze email door OpenEmbassy.
9.6.7 Wanneer Opdrachtgever of diens vervanger op de eerste dag van de training niet verschijnt, wordt dit aangemerkt als annulering. Het is dan niet meer mogelijk de rest van het programma te volgen en tevens niet meer mogelijk om een vervanger te sturen.
9.6.7 Op inschrijvingen voor LinkedIn Local events is geen refund mogelijk, Opdrachtgever heeft geen recht op restitutie van het betaalde bedrag.
*Annulering één-op-één begeleiding op afspraak, zoals adviesgesprekken of individuele sessies.
9.7.1 In geval van een bestaande afspraak voor begeleidings- of adviesgesprekken of andere één op één begeleiding, heeft Opdrachtgever het recht tot uiterlijk 36 uur voor aanvang kosteloos een nieuwe afspraak te maken of te annuleren. Indien de afspraak binnen 36 uur voor aanvang wordt verplaatst of geannuleerd, is Opdrachtgever de gehele overeengekomen prijs voor de geannuleerde of verplaatste sessie verschuldigd.
*Annulering langlopende opdrachten
9.8.1 Indien de overeenkomst een langlopend traject van meerdere vooraf overgekomen sessies betreft, geldt voor wat betreft annulering door Opdrachtgever vóór aanvang van het traject de hiervoor in art. 9.6.4 en 9.6.5 opgenomen annuleringsregeling voor “Open Inschrijvingen”. Tussentijdse annulering is in beginsel niet mogelijk. De overeengekomen prijs blijft verschuldigd, tenzij er naar het oordeel van OpenEmbassy aanleiding is om anderszins over een te komen.
*Annulering online programma
9.9.1 Bij schriftelijke annulering van het online programma binnen 30 dagen na aanmelding krijgt Opdrachtgever de volledige investering retour. Bij annulering na 30 dagen na aanmelding is de Opdrachtgever de overeengekomen prijs verschuldigd.
Article 10 - Execution of the assignment
10.1 If work is performed by OpenEmbassy or third parties engaged by us in the context of the assignment at the Client's location or a location designated by the Client, the Client shall provide the facilities reasonably required free of charge. Any costs to be incurred by the Client in this context, internally and/or by engaging third parties, shall be for the Client's account.
10.2 The Client shall ensure that all data, which OpenEmbassy indicates to be necessary or which the Client should reasonably understand to be necessary for the execution of the agreement, shall be provided to OpenEmbassy in good time. If the data required for the execution of the agreement are not provided to OpenEmbassy in a timely manner, we are entitled to suspend the execution of the agreement and/or to charge the additional costs resulting from the delay to the Client according to the then customary rates. The execution period will not commence until after the Client has made the data available to OpenEmbassy . We are not liable for damage, of whatever nature, because OpenEmbassy has relied on incorrect and/or incomplete data provided by Client.
Article 11 - Liability and indemnity.
11.1 OpenEmbassy is not liable for any form of direct or indirect damage in relation to the delivery of its Products and Services.
11.2 Should OpenEmbassy nevertheless be held liable for damage to persons or goods, such liability shall be limited to the amount paid out under OpenEmbassy 's professional liability insurance in that case, to be reduced by any applicable excess, according to the contents of this professional liability insurance. If in a given case the (professional liability) insurer offers no cover or makes no payment, the Contractor's liability will be limited to a maximum of the amount of the contract price or the total amount invoiced involved in the execution of the assignment from which the liability arose.
11.3 A condition for any right to compensation is always that the Buyer/Participant must report the damage in writing to OpenEmbassy as soon as possible after the discovery or should have discovered any damage, but at the latest within two weeks.
11.4 Any claim for damages against OpenEmbassy lapses one year after the agreement has been executed, without prejudice to the possibility of earlier other grounds for lapsing under the law.
11.5 If the proper execution of the order requires it, OpenEmbassy will engage third parties. OpenEmbassy is not liable for shortcomings or negligence of these third parties, barring intent or gross negligence on the part of OpenEmbassy. If these third parties wish to limit their liability in connection with the performance of an order of OpenEmbassy , OpenEmbassy assumes and, if necessary, hereby confirms that all orders given to it by Buyer/Participant include the authority to accept such limitation of liability on behalf of the Buyer/Participant.
Article 12 - Force majeure
12.1 OpenEmbassy is not obliged to fulfill one or more obligations if it is prevented from doing so as a result of force majeure. Force majeure includes:
1. a failure of external hosting providers and suppliers of OpenEmbassy
2. interruptions or breakdowns in power and/or telecommunications facilities
3. impediments resulting from the hardware and software used by Customer or the technical infrastructure used by it
4. strikes
5. fire
6. accident or illness of personnel
7. Denial of Services (DoS) attacks
8. problems unforeseen by OpenEmbassy and any other circumstance not solely dependent on the will of OpenEmbassy .
12.2 If the force majeure situation has lasted for more than sixty (60) days, the Customer has the right to terminate the Agreement by written rescission or dissolution by e-mail without OpenEmbassy being liable for any compensation for costs or damages.
12.3 If OpenEmbassy is prevented from fulfilling the Agreement due to restrictions or impediments or other forms of force majeure, it is entitled to suspend performance of the Agreement. The Customer is in that case not entitled to compensation for damages, costs or interest.
12.4 Insofar as OpenEmbassy at the time of the occurrence of force majeure has already partially fulfilled its obligations under the agreement or will be able to fulfill them, and the fulfilled or to be fulfilled part has independent value, OpenEmbassy is entitled to separately invoice the part already fulfilled or to be fulfilled respectively. Client is obliged to pay this invoice as if it were a separate agreement.
12.5 In the event of force majeure, OpenEmbassy will make reasonable efforts to provide Client with an alternative solution if desired.
Article 13 - Consulting and knowledge sharing
13.1 All advice given by OpenEmbassy , shared knowledge and notices and statements provided by OpenEmbassy about, among other things, the characteristics of services to be provided by OpenEmbassy are entirely free of obligation and are provided by OpenEmbassy by way of non-binding information. OpenEmbassy does not provide any guarantee in this respect.
13.2 OpenEmbassy is not liable for any direct or indirect damage, in whatever form and on whatever account, arising from the provision of information and/or advice by OpenEmbassy. Customer indemnifies OpenEmbassy against all claims from third parties, unless there is intent or gross negligence on the part of Customer.
13.3 Without permission from OpenEmbassy , Customer is prohibited from transferring the user name(s) and password(s) provided by OpenEmbassy to third parties.
13.4 OpenEmbassy respects Customer's privacy. OpenEmbassy will process Customer's personal data in accordance with the applicable privacy regulations and with the Privacy Statement that can be viewed on OpenEmbassy 's website. Customer consents to this processing of its personal data.
Article 14 - Intellectual property rights
14.1 OpenEmbassy has the intellectual property rights to the content of the program and events. This means that you cannot simply use texts or assignments in your own programs, blogs, articles, or otherwise use or distribute them (online). All intellectual and industrial property rights with respect to the Website and other services, and with respect to everything OpenEmbassy develops, manufactures or provides, including books, courses, knowledge and learning programs, texts, designs, videos and images, belong to OpenEmbassy.
14.2 The Customer is not permitted to remove or change any indication of trademarks, trade names, copyrights or other intellectual or industrial property rights.
14.3 The Customer is not permitted to copy, reproduce or otherwise duplicate, translate, adapt, recreate, modify or reconstruct the service or any part thereof. The Customer is, however, permitted to reproduce these documents for his own use insofar as the assignment reasonably entails this.
14.4 To the extent necessary for use of the Services, the Customer acquires a non-transferable and non-exclusive right of use with respect to these intellectual property rights.
14.5. Unless otherwise agreed, copyrights as well as all other rights of intellectual property in these documents shall remain with the Contractor.
14.6. The Client shall be required to return the documents to the Contractor on demand under penalty of a fine of €1,000 per day.
Article 15 Complaints
15.1 If you have a complaint about our Products, Meetings or Trainings, you can notify us via info@openembassy.nl. Please describe your complaint as accurately as possible. You will receive a response from us as soon as possible, but in any case within four weeks. You can read more about the procedure for submitting and handling complaints in our complaints regulations.
15.2 Complaints do not suspend the payment obligation.
Article 16 - Applicable law
16.1 Dutch law applies exclusively to this Agreement.
16.2 Insofar as national legal rules do not imperatively prescribe otherwise, the court in Amsterdam has exclusive jurisdiction to take cognizance of disputes arising from or related to the Agreement between parties.
16.3 Customer is not entitled to transfer the rights and obligations arising from the Agreement to a third party, including entities within the group of which Customer is part, without the prior written permission of OpenEmbassy . OpenEmbassy is entitled to transfer the rights and obligations arising from the Agreement to third parties. OpenEmbassy grants its consent to such a transfer, now for then.
16.4 If one or more provisions of this Agreement are null and void or voidable, this shall not affect the validity of the remaining provisions. The parties shall consult in order to agree new provisions to replace the void or nullified provisions, taking into account as far as possible the purpose and meaning of the void or nullified provision.
